01Definitions

For the purposes of this Data Processing Agreement ("DPA"), "Controller" means the entity that determines the purposes and means of processing personal data; "Processor" means Aiden Insurance Group, LLC, which processes personal data on behalf of the Controller; "Personal Data" means any information relating to an identified or identifiable natural person; and "Processing" means any operation performed on personal data, including collection, storage, use, disclosure, and deletion.

02Scope & Purpose of Processing

Aiden processes Personal Data solely to provide insurance brokerage services, risk analysis, and platform operations as agreed with the Controller. Processing includes: client and contact information; insurance application and policy data; and usage data necessary to operate and secure the platform. Data subjects include the Controller's employees, clients, and other individuals whose data the Controller provides to Aiden in connection with the services.

03Obligations of the Processor

Aiden will process Personal Data only on the Controller's documented instructions and in compliance with applicable data protection law. Aiden will ensure that personnel with access to Personal Data are bound by confidentiality obligations. Aiden will not use Personal Data for any purpose other than performing the services or as required by law.

04Sub-Processors

Aiden may engage sub-processors (e.g., cloud infrastructure, compliance tools) to assist in providing the services. Aiden will impose on sub-processors contractual obligations that are no less protective than those in this DPA. The Controller will be notified of any new or replacement sub-processor with reasonable advance notice and may object on reasonable grounds relating to data protection.

05Data Subject Rights

Aiden will assist the Controller in responding to data subject requests (access, rectification, erasure, restriction, portability, and objection) in so far as applicable law requires and to the extent Aiden can do so from the data it processes. The Controller remains responsible for verifying the identity of the data subject and for the substantive response to the request.

06Security & Breach

Aiden implements appropriate technical and organizational measures to protect Personal Data, including encryption, access controls, and regular assessments. In the event of a personal data breach, Aiden will notify the Controller without undue delay and in any event within 72 hours of becoming aware of the breach, and will provide information reasonably necessary for the Controller to meet its own notification obligations.

07Term & Contact

This DPA remains in effect for the duration of the services and until Personal Data is deleted or returned. Upon termination, Aiden will delete or return Personal Data as instructed by the Controller. For questions regarding this DPA, contact: privacy@aideninsurance.com.

01Acceptance of Terms

By accessing or using the website, platform, or services of Aiden Insurance Group, LLC ("Aiden," "we," "us"), you agree to be bound by these Terms of Service. If you are using the services on behalf of an organization, you represent that you have the authority to bind that organization. You must be at least 18 years of age to use our services.

02Description of Services

Aiden provides licensed insurance brokerage services, including placement of commercial and specialty lines, and access to an AI-powered risk analysis platform. Our platform may be used to obtain quotes, manage applications, and view risk assessments. Services are subject to availability and to the terms of any separate brokerage or service agreement you have with us.

03User Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these terms or that we reasonably believe pose a risk to the platform or other users.

04Use & Restrictions

You may use our services only for lawful purposes and in accordance with these terms. You may not misuse the platform, attempt to gain unauthorized access, interfere with the operation of the services, or use the services in any way that could harm Aiden, our clients, or third parties. Our platform content, including risk models and analytics, is proprietary; you may not copy, reverse engineer, or use it for purposes other than your own use of the services.

05Limitation of Liability

To the maximum extent permitted by law, Aiden's aggregate liability arising out of or related to these terms or the services shall not exceed the greater of (a) the fees paid by you to Aiden in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, even if advised of their possibility. Some jurisdictions do not allow certain limitations; in such cases our liability is limited to the fullest extent permitted by law.

01Consent to Use Electronic Signatures

Under the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and applicable state laws (including the Uniform Electronic Transactions Act, UETA), you consent to conduct transactions with Aiden Insurance Group, LLC electronically. This includes receiving disclosures, applications, binders, policies, endorsements, and other documents in electronic form and signing them using electronic signatures where we make that option available.

02Scope of Consent

Your consent applies to documents and communications related to our insurance brokerage services, including but not limited to: applications and questionnaires; binders and policy delivery confirmations; endorsements and amendments; claims-related forms and acknowledgments; and brokerage or service agreements. We will provide documents in a format you can retain (e.g., PDF) and will use a secure process for electronic signature when required.

03Withdrawing Consent

You may withdraw consent to electronic delivery and signing by contacting us in writing at legal@aideninsurance.com. Withdrawal will not affect the legal effect of documents you have already signed electronically. After withdrawal, we will provide subsequent documents in paper form where required by law; additional fees may apply for paper delivery. You are responsible for keeping your email and contact information current so we can deliver electronic communications to you.

Aiden Insurance Group, LLC is a licensed insurance broker. We act on your behalf to place coverage with insurers, negotiate terms, and assist with claims. We are not an insurer; we do not underwrite risk or pay claims. Our role is to advise you, obtain quotes, and facilitate the purchase and administration of insurance policies. We are committed to acting in your best interest and to transparency regarding our compensation.

02How We Are Compensated

We are typically compensated through commissions paid by insurance carriers when coverage is placed or renewed, and in some cases through broker fees or consulting fees agreed with you in writing. Commission rates may vary by carrier, line of business, and policy type. We may also receive compensation for value-added services (e.g., risk analytics, compliance support) as set out in our engagement letters or service agreements. We do not accept compensation that would create a conflict of interest with your interests without your knowledge and consent.

03Your Right to Information

You have the right to request information about the compensation we receive in connection with your account, including commissions and fees. Upon request, we will provide a reasonable summary of compensation received for your policies.
